Over time, a board may become complacent or may need new skills and perspectives to respond nimbly to changes in the business environment or strategy. Regular and rigorous self-evaluations help a board to assess its performance and identify and address potential gaps in the boardroom.

Familiarization Programmes

Companies Act, 2013 has cast a duty on the Independent Directors (IDs) to undertake appropriate induction and regularly update & refresh their skills, knowledge and familiarity with the company. SEBI Regulations also mandate that companies need to familiarize their IDs through various programmes. Further, details of familiarization programmes imparted to IDs are to be disclosed on the company’s website and a weblink on the same to be provided in the company’s annual report sent to the shareholders.

At Beyond Compliance, we conduct familiarization programmes to IDs on corporate compliance and governance matters. Our tailor-made familiarization programmes are aimed to familiarize the independent directors with their roles and responsibilities in the company. Directors compliance and disclosure obligations under various statutes, regulatory updates concerning board and directors, latest trends and best practices on boardroom experiences are all covered under our familiarization programmes.
